Public Offer

This Public Offer for a Charitable Donation (the "Offer") is addressed to an indefinite circle of individuals and legal entities (the "Donor") and constitutes a public proposal of the CHARITABLE ORGANIZATION "CHARITABLE FOUNDATION "FOOD FOR LIFE KHARKIV"" (EDRPOU code 45330161) (the "Foundation") to enter into an agreement for a charitable donation on the terms set out below.

Public Offer — a valid proposal of the Foundation, published at foodforlife.com.ua/offer, to make a charitable donation, addressed to an indefinite circle of persons.

Acceptance — full and unconditional acceptance of the Offer by making a money transfer through the payment forms on the website (including via third-party payment services) or by transferring funds to the Foundation's bank account. The Offer is deemed accepted from the date the funds are credited to the Foundation's account.

Charitable Donation — a gratuitous transfer of funds by the Donor into the ownership of the Foundation to achieve the charitable purposes provided for by the Foundation's Charter and/or charitable programs, in accordance with the Law of Ukraine "On Charitable Activity and Charitable Organizations", the Foundation's Charter, and this Agreement.

Donor — a capable individual or legal entity that voluntarily engages in charitable activity. For the purposes of this Agreement, the Donor is a person who has accepted the Offer.

Beneficiary — a recipient of charitable aid from the Foundation, for the purposes defined by the Law of Ukraine "On Charitable Activity and Charitable Organizations" and the Foundation's Charter.

The subject of this Agreement is the gratuitous and voluntary transfer by the Donor into the ownership of the Foundation of funds by way of a charitable donation, to support the Foundation's provision of charitable aid in accordance with the Law of Ukraine "On Charitable Activity and Charitable Organizations", the Charter, and the Foundation's charitable programs.

Except where a donation is made for a predetermined purpose (a specific charitable project), the Foundation independently determines the scope and use of the donation in accordance with its statutory activity.

Where a donation is made for a predetermined purpose, the Foundation uses it exclusively for that purpose, independently determining how it is used within the project, with no refund. If the project is not implemented or funds remain, the Foundation independently determines further use of such funds in accordance with its statutory activity, with no refund to the Donor.

Performance of this Agreement is not intended to generate profit or any benefit for either party.

Defined by the Law of Ukraine "On Charitable Activity and Charitable Organizations", the Law of Ukraine "On Humanitarian Aid", the Charter, and the Foundation's charitable programs.

If, when accepting the Offer or filling out forms on the website, the Donor provides personal data (name, contact details, etc.), such data is processed by the Foundation in accordance with the Privacy Policy at foodforlife.com.ua/privacy and the Law of Ukraine "On Personal Data Protection".

By accepting the Offer, the Donor confirms having read and agreed to all terms of this Agreement, its subject, and the purposes of the public fundraising, and confirms the Foundation's right to use part of the donation for administrative expenses, in an amount not exceeding that established by the Law of Ukraine "On Charitable Activity and Charitable Organizations".

From the moment of acceptance, this Agreement is deemed concluded in writing in accordance with Articles 207, 639, 641, and 642 of the Civil Code of Ukraine and Article 7 of the Law of Ukraine "On Charitable Activity and Charitable Organizations". Failure to sign a separate paper document does not invalidate this Agreement.

The Foundation has the right to receive donations and use them in accordance with the subject of this Agreement and its statutory activity, and to use part of a donation for administrative expenses within the limits established by law.

The Foundation is obliged to report on the use of donations by publishing relevant information at foodforlife.com.ua/transparency.

The Donor has the right to receive information about the intended use of their donation, including in writing, via the contacts listed on the Contacts page.

Public fundraising is carried out in any country in the world; the Foundation's direct activity is carried out at its place of location.

Fundraising continues until the Foundation ceases operations, unless otherwise announced on the website.

Funds are used to achieve the purposes defined by the Foundation's statutory activity and applicable Ukrainian law.

Donations received by the Foundation are non-refundable to the Donor.

The Foundation is liable for breaches of this Agreement and for using donations contrary to the procedure established by its statutory activity and Ukrainian law.

Costs related to transferring a donation (payment system fees, etc.) are borne by the Donor.

The Foundation has the right to amend this Offer. Changes are published at foodforlife.com.ua/offer and take effect upon publication, without requiring the Donor's consent.

The Foundation is not liable for failure to perform or improper performance of this Agreement if caused by circumstances of insurmountable force (force majeure), including but not limited to: military actions, a state of emergency or martial law, actions of government authorities, natural disasters, or failures of payment systems or banks.

Disputes relating to this Agreement are resolved through negotiation, and failing agreement, in court in accordance with the laws of Ukraine at the Foundation's place of location.
